Terms of Use

1.1. Definitions. In these Terms and in each Policy, unless the context requires otherwise, the following terms have the meanings given below:

• “Account” means the registered profile created by a User or Influencer to access the Platform.
• “Applicable Law” means all laws, rules, regulations, orders, notifications, guidelines and binding directions of any competent court, regulator or governmental authority in force in India from time to time, including the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Consumer Protection Act, 2019, and the rules made under them, each as amended or re-enacted.
• “Celaeno”, “Company” means THE ANU'S NETWORK PRIVATE LIMITED, operating under the brand name “Celaeno”, having its registered office at H.32, Janhit Awas Yojna, Modern Railway City Road, Chhaprola (Chhapraula), Uttar Pradesh – 201009, and its successors and permitted assigns.
• “Community Guidelines” means the Celaeno Community Guidelines, as updated from time to time.
• “Content” means any photograph, video, audio, text, message, profile information, biography, review, report or other material that a User or Influencer uploads, submits, transmits or otherwise makes available on the Platform.
• “Credentials” means any password, one-time password (OTP), banking PIN, card number, payment authentication code or similar secret used to access an account or authorise a transaction.
• “Eligibility Verification” means any check carried out by or for Celaeno to confirm a person’s age, identity or financial eligibility for a particular service or account category, and includes verification through an authorised third-party provider.
• “Financial Eligibility Evidence” means any employment-related document, income-related document or other evidence submitted to satisfy a financial eligibility requirement for a particular service or account category.
• “Influencer” means an individual engaged by or participating with Celaeno to provide Influencer Interaction Services to Users, wherever located.
• “Influencer Interaction Service” means the service described in Clause 4.1, under which eligible Users purchase access to conversations or other expressly described interactions with Influencers.
• “Intimate Image” means any image or recording of a person that depicts nudity, sexual activity or a private or compromising situation, including any such image that has been digitally altered or generated.
• “Mandatory Law” means any provision of Applicable Law, including statutory consumer rights, that cannot be excluded, limited or waived by agreement.
• “Minor” means any person under eighteen (18) years of age.
• “Paid Features” means any feature, service or benefit offered for a fee, including Influencer Interactions, Subscriptions, Boosts, premium filters, credits and visibility features.
• “Personal Information” means any information about an identified or identifiable individual, and includes “personal data” as defined under Applicable Law.
• “Platform” means the Celaeno website, mobile application, communication features, Paid Features and related offerings, collectively.
• “Policies” means, together, the Privacy Policy; Community Guidelines; User Safety and Protection Policy; Payments, Refunds and Subscriptions Policy; Cookie and Tracking Technologies Policy; Grievance and Legal Requests Policy; and Data Retention, Security and Account Deletion Standard, each as updated from time to time.
• “Private-Person Dating and Communication Service” means the service described in Clause 4.2, under which Users may discover, communicate with and potentially form personal or romantic connections with other Users.
• “Security Incident” means any actual or reasonably suspected unauthorised access to, or loss, disclosure, alteration or destruction of, Personal Information or Platform systems within Celaeno’s control.
• “Services” means the Influencer Interaction Service, the Private-Person Dating and Communication Service and any other service Celaeno makes available through the Platform.
• “Subscription” means a paid, time-limited entitlement to specified Platform features, whether or not it renews automatically.
• “Terms” means these Terms of Use, including any feature-specific terms incorporated by reference.
• “Third-Party Service Provider” means any person engaged by or on behalf of Celaeno to support the Platform, including payment processors, verification providers, hosting and cloud providers, analytics and security providers, app store operators and customer-support providers.
• “User”, “you” or “your” means any individual who registers for, accesses or uses the Platform, other than in the capacity of an Influencer, except where a provision expressly applies to Influencers as well.
• “Verification Badge” means any indicator, label or status displayed on the Platform to show that a specified Eligibility Verification has been completed.

These Terms of Use govern access to and use of the Celaeno website, mobile application, communication features, paid services and related offerings (collectively, the Platform). By registering, accessing or using the Platform, you agree to comply with these Terms and the applicable Policies.

Where Applicable Law requires separate or specific consent, Celaeno will obtain that consent through an appropriate mechanism. Accessing the Platform or accepting these Terms does not constitute consent to every possible use of Personal Information.

If you do not agree to these Terms or the applicable Policies, you must not use the Platform.

These Terms define the Services provided by Celaeno, Users' responsibilities and the limits of the Company's commitments. They do not create a partnership, employment relationship or agency relationship between Celaeno and any User or Influencer unless a separate written agreement or Applicable Law provides otherwise.

Additional terms may apply to particular features and will apply subject to Applicable Law and mandatory consumer protections.

The Platform is strictly intended for individuals aged eighteen (18) years or older. A person under eighteen must not register, create a profile, participate in chats, purchase services or appear as an Influencer.

By using the Platform, you confirm that you meet the age requirement, have the legal capacity to enter into a binding agreement and are not prohibited by law or a binding court order from using the relevant service.

Celaeno may request proof of age, identity or eligibility where reasonably necessary for account security, fraud prevention or legal compliance. If an account may belong to a Minor, Celaeno may restrict access, request verification, remove relevant content or suspend or terminate the account.

Users must not misstate their age, use another person's identity or help another person bypass eligibility requirements.

Financial eligibility, where required for a particular service or account category, is only a criterion for access. It does not establish a person's character, honesty, solvency, safety, relationship intentions or likely future conduct.

Celaeno may refuse or restrict access where verification fails, information appears fraudulent, the account presents a reasonable safety or legal risk, or continued access would otherwise be unlawful.

Users must provide accurate, current and complete registration information, including a valid contact number and other information reasonably required for account creation and security.

Depending on the service and associated risk, Celaeno may request proof of age, identity or financial eligibility, including an appropriate employment-related document, income-related document or other proportionate evidence.

The purpose of each verification exercise will be identified, and the information collected will be limited, as far as practicable, to what is reasonably necessary. Verification may be conducted by an authorised or lawfully engaged service provider.

Users must not submit forged, altered, borrowed or misleading documents or misuse another person's identity. OTPs, passwords, banking PINs and payment authentication codes must never be shared through ordinary chat or submitted as routine proof of eligibility.

Users should avoid sending complete bank statements, full payment credentials or unrelated financial records where less intrusive evidence is sufficient.

Aadhaar-related information will be processed only through a lawful process with the required consent and safeguards. Celaeno will not claim to perform official Aadhaar authentication unless legally authorised to do so.

A Verification Badge confirms only that the specified check was completed to the stated standard. It does not certify financial reliability, trustworthiness, criminal history, personal intentions or future conduct.

Celaeno may conduct re-verification where information changes materially, fraud is suspected or a reasonable security concern arises. Failure to complete necessary and lawful verification may result in restrictions on the relevant feature or account.

Celaeno may offer two distinct service models: the Influencer Interaction Service and the Private-Person Dating and Communication Service. Features, prices, restrictions and applicable purchase terms will be disclosed for the relevant service.

This service allows eligible Users to purchase access to conversations or other expressly described interactions with participating Influencers. Pricing may vary according to the Influencer's disclosed rate, popularity tier, session duration, service type or other stated pricing criteria.

The applicable price, duration, inclusions, restrictions and cancellation terms will be disclosed before purchase.

Payment purchases only the interaction described at checkout. It does not purchase affection, friendship, romantic commitment, exclusivity, personal contact information, sexual activity, an in-person meeting or any promise of future communication.

An Influencer may decline, pause or end an interaction where a User engages in harassment, unwanted sexual remarks, threats, coercion, abusive conduct or behaviour that reasonably causes discomfort or raises a safety concern.

Users must respect these boundaries and must not pressure an Influencer to continue an interaction, move to another platform, reveal personal information or provide services outside the purchased scope.

Celaeno does not guarantee an Influencer's availability at a particular time unless the booking expressly confirms it. Influencers must accurately represent their identity, association with Celaeno and the nature of the service offered.

Influencers must not induce payment through false promises of a personal relationship, financial benefits, exclusive access or services not included in the purchase.

If Celaeno cancels a confirmed service or a material part of the purchased service is not delivered for reasons attributable to the Company, refund or credit eligibility will be assessed under the Payments, Refunds and Subscriptions Policy.

This service enables Users to discover, communicate with and potentially form personal or romantic connections with other Users. The Platform may provide a free tier and paid subscription tiers with features such as advanced discovery filters, enhanced profile visibility, profile boosts or priority placement.

No subscription or visibility feature guarantees a match, message, reply, date, relationship, profile view or particular ranking.

Users independently decide whether to respond to, meet or continue communicating with another User. Celaeno is not a party to relationships formed between Users and does not guarantee the accuracy of every profile, the sincerity of a person's intentions or any User's conduct.

Users should exercise independent judgment before sharing personal information, meeting another person or entering into a financial arrangement. A profile, photograph, occupation, income claim or Verification Badge should not be treated as conclusive proof of identity, financial standing or trustworthiness.

Users must not use this service to obtain money, investments, loans, gifts or other financial benefits through deception, coercion or manipulation.

If a User transfers money or conducts a transaction with another User outside a payment process expressly supported by Celaeno, that decision is made independently. Celaeno does not guarantee recovery of money or property transferred outside its supported services.

Celaeno may add, modify, suspend or discontinue features for operational, security, legal or commercial reasons.

Where a change materially affects a paid service already purchased, the Company will apply the relevant purchase terms and any refund that may be necessary.

All Users must comply with these Terms, the Community Guidelines, the User Safety and Protection Policy and Applicable Law.

The Platform must not be used to harass, threaten, stalk, intimidate, blackmail, coerce or defame another person; engage in unwanted sexual communication; distribute intimate images without necessary consent; impersonate another person; or upload content that unlawfully infringes another person's rights.

Users must not use Celaeno for fraud, phishing, money laundering, financial scams, unlawful sexual services, trafficking, exploitation or non-consensual acts. Soliciting another User's OTP, password, banking PIN, confidential financial information or identity documents through deception is prohibited.

Requests for money supported by fabricated emergencies, false investment promises, threats or blackmail are prohibited.

Users must not scrape profiles, harvest contact information, circumvent access controls, reverse-engineer restricted features, create unauthorised automated accounts or evade suspension by opening another account.

Recording, reproducing or distributing paid interactions is prohibited where it breaches the applicable feature terms, another person's rights or the law.

Users must not share another person's photographs, private messages, contact details or precise location without the necessary rights, consent and lawful basis. Content encouraging self-harm or threatening violence may also result in enforcement action.

Celaeno may investigate suspected violations, restrict functionality, remove content, suspend or terminate accounts, preserve evidence where lawful and report suspected unlawful activity to competent authorities where required or permitted.

Temporary action may be taken before an investigation is complete where reasonably necessary to prevent harm, protect evidence, secure an account or comply with law. Action will depend on the seriousness of the conduct, available evidence and risk of recurrence.

Users retain ownership of content they lawfully own or are otherwise entitled to submit.

By submitting photographs, profile information, messages or other content, a User grants Celaeno a non-exclusive, worldwide, royalty-free licence, for the duration permitted by law and applicable rights, to host, store, reproduce, technically adapt, display and distribute that content as reasonably necessary to operate and secure the Platform in accordance with the User's settings and the Privacy Policy.

This licence does not transfer ownership of the User's content to Celaeno. Public promotional use of an identifiable profile photograph, testimonial or other content outside ordinary Platform operation requires an appropriate legal basis and separate consent where required.

Each User represents that they have the necessary rights and permissions to submit their content and that it does not unlawfully infringe another person's privacy, copyright, personality rights or other legal rights.

Users must not upload another person's photograph as their own, create misleading profiles using another person's identity or share intimate, compromising or manipulated images without the necessary rights and consent.

Celaeno may remove or restrict content that violates these Terms, Applicable Law or another person's rights. Limited copies may be retained where reasonably necessary for security, legal compliance, dispute resolution or evidence preservation, subject to Applicable Law and the retention standard.

A recipient may copy, photograph, screenshot, record or forward information voluntarily shared with them. Celaeno cannot guarantee another User will keep such information confidential. This does not authorise misuse or unlawful disclosure, which may result in content removal, account restrictions or referral to competent authorities where appropriate.

The collection, use, disclosure, retention and deletion of Personal Information are governed by the Celaeno Privacy Policy and Applicable Law.

Access to a device's location, contacts, photographs, camera, microphone or other functions will be requested only as appropriate to the feature and subject to device permissions and Applicable Law.

Users should not share sensitive financial information, identity documents, passwords, OTPs or precise location details in ordinary chats.

Celaeno may process, preserve or disclose information where reasonably necessary and legally permitted for account security, fraud prevention, complaint investigation, dispute resolution, legal compliance or responding to a valid legal request.

Celaeno will apply reasonable safeguards to Personal Information within its control. However, the Company cannot guarantee that information shared directly between Users will not be disclosed by either of them. Users should consider the risks before sharing information that could identify them, expose their location or compromise their financial security.

Applicable prices, taxes, subscription duration, renewal frequency and payment terms will be displayed before purchase. Where subscriptions renew automatically, renewal terms will be disclosed before purchase, and Users may cancel through the applicable account or payment-provider mechanism.

Cancellation ordinarily stops future renewal but does not automatically reverse a completed payment or entitle a User to a refund for a period already used, except where required by law or the applicable refund policy.

Refund eligibility will be assessed under the Payments, Refunds and Subscriptions Policy, disclosed purchase terms and applicable app-store rules.

Celaeno will not impose a blanket no-refunds-under-any-circumstances rule where a refund is legally required.

Users must not abuse payment disputes, fraudulent chargebacks or promotional offers. Genuine complaints and statutory consumer remedies will not be restricted by this clause.

Celaeno may correct an obvious pricing or billing error, subject to Applicable Law and appropriate notice or refund arrangements. For any questions or concerns regarding billing or pricing corrections, please contact us at billing@celaeno.in

Users may report suspected violations through the support email at safety@celaeno.in along with in-app reporting mechanism. A report should identify the relevant account or content and include a description of the incident and supporting material where available.

Users should avoid submitting unnecessary sensitive information or another person's confidential documents.

Credible threats, stalking, non-consensual intimate imagery, sexual exploitation and immediate risks of harm will be prioritised. Temporary protective action may be taken before a full investigation is completed where reasonably necessary and lawful.

Celaeno will comply with applicable grievance, takedown, record-preservation and law-enforcement obligations. A report will not be treated as false merely because available evidence is inconclusive, although knowingly fabricated reports may result in proportionate action.

Celaeno does not promise that every User or Influencer has undergone every possible background check. Any verification performed will be described accurately and will not be presented as a guarantee of future conduct.

Except where expressly stated otherwise, Celaeno does not act as a guarantor of any User's identity, intentions, conduct, financial position or suitability.

Interactions, relationships, communications and transactions between Users that occur outside the Services expressly provided by Celaeno are undertaken at the Users' own discretion and risk. Celaeno does not control, and shall not be responsible for, statements, representations, communications or transactions between Users to the extent they fall outside its control.

Users should exercise independent judgment, safeguard their personal and financial information, and take appropriate precautions before meeting another User in person or transferring money.

The Platform may engage third-party service providers, including payment processors, verification providers, hosting providers and other technology or infrastructure providers. Their services may be subject to separate terms, conditions and policies, which Users should review independently.

Celaeno shall not be responsible for acts, omissions, interruptions, errors, failures or policies of third-party service providers that are beyond its reasonable control.

A User may discontinue use and request account deletion through the account settings.

Celaeno may temporarily restrict or permanently terminate access where reasonably necessary because of a breach of these Terms, suspected fraud, harassment, safety risks, legal obligations or misuse of the Platform.

Where appropriate and lawful, the Company may provide notice of the action and an opportunity to challenge an erroneous decision.

Immediate restrictions may be imposed where delay would create a material safety, security or legal risk. A User must not create another account to evade a restriction or continue prohibited conduct.

The Platform's software, branding, design, logos and proprietary materials are owned by or licensed to Celaeno.

Except for rights expressly granted under these Terms, no intellectual-property licence is conferred on a User.

Users must not copy, commercially exploit, reverse-engineer or misuse Celaeno's intellectual property except to the extent permitted by law. Users must also respect the intellectual property and other legal rights of third parties.

To the maximum extent permitted by Applicable Law, the Platform is provided on an “as available” basis. Celaeno does not warrant uninterrupted availability, error-free operation, a particular number of matches or the success of a personal relationship.

The Company does not warrant the accuracy or completeness of information provided by Users and cannot guarantee the prevention of all harmful or inappropriate conduct.

No profile, photograph, badge or message should be treated as an independent guarantee by Celaeno of another person's identity, honesty, financial standing or intentions unless the Company expressly provides such a guarantee in writing.

Celaeno does not guarantee that every report will result in removal, suspension, recovery of funds or a particular outcome.

To the maximum extent permitted by Applicable Law, Celaeno will not be liable for indirect or consequential losses arising from a User's use of the Platform, including loss of opportunity or disappointment concerning another User's response or relationship intentions.

Nothing in these Terms excludes or limits liability or rights that cannot lawfully be excluded or limited under Mandatory Law.

A User may be responsible for direct losses, claims and reasonable costs suffered by Celaeno arising from the User's unlawful conduct, infringement of third-party rights, fraud or material breach of these Terms.

This may include reasonable costs arising from a third-party claim concerning unlawfully uploaded photographs, misuse of identity information, fraudulent activity or prohibited content attributable to the User.

Where appropriate, Celaeno may notify the User of the relevant claim and provide a reasonable opportunity to respond. Any amount claimed must have a reasonable connection to the User's conduct and the loss suffered.

Celaeno may revise these Terms to reflect changes in the Platform, business operations, security requirements or Applicable Law.

Material changes will be communicated through the Platform, the email provided in the application, enquiry@celaeno.in, or another appropriate channel. Where legally required, renewed acceptance will be obtained before the changed Terms apply to the affected activity.

The effective date will be updated whenever these Terms are revised. A revised version will not retrospectively remove a legal right that has already accrued or override a mandatory legal protection.

These Terms are governed by the laws of India, subject to mandatory legal protections applicable to the User.

Users should first submit a complaint to the grievance@celaeno.in given in the application to provide an opportunity for informal resolution.

Where appropriate, the parties may attempt to resolve a dispute through direct discussion or voluntary mediation.

Where a valid written arbitration agreement covers the dispute, arbitration may be conducted under the Arbitration and Conciliation Act, 1996, as amended, and the terms of that agreement.

The Terms document also provides for disputes to be referred to arbitration under applicable Indian law, with the seat and venue in New Delhi, India, through the Delhi International Arbitration Centre (DIAC), under its applicable rules. Proceedings will be conducted in English, and the award will be final and binding, subject to Applicable Law.

If a provision is held invalid or unenforceable, the remaining provisions will continue to apply to the extent legally permissible. Failure to enforce a provision on one occasion does not constitute a permanent waiver of that provision.

These Terms, together with the Policies incorporated into them and any applicable feature-specific terms, constitute the agreement governing use of the Platform, subject to any separate written agreement and Mandatory Law.

Notices may be provided through the Platform, the registered email address or another reasonable communication channel, subject to Applicable Law.

Nothing in these Terms guarantees that the Platform will prevent every violation, fraud or harmful act. Celaeno will comply with the obligations imposed by Applicable Law and the commitments it expressly makes in these Terms and related Policies.
